1. Agreement to Terms

Welcome to Apex Arena. These Terms of Service ("Terms") govern your access to and use of the Apex Arena mobile application and related services (the "Service"). The Service is operated by Apex Arena Inc. ("Apex Arena," "we," "us," or "our").

By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

IMPORTANT: These Terms contain an arbitration clause and class action waiver that affect your rights. Please read Section 16 carefully.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have permission from a parent or legal guardian. By using the Service, you represent that:

• You meet the minimum age requirement
• You have the authority to agree to these Terms
• You will comply with these Terms and all applicable laws

3. User Accounts

3.1 Account Creation

To use most features of the Service, you must create an account using Apple Sign-In. You agree to:

• Provide accurate and complete information
• Keep your account information up to date
• Maintain the security of your account
• Not share your account with others
• Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for all activity that occurs under your account. Apex Arena is not liable for any loss or damage arising from unauthorized use of your account.

3.3 Account Termination

You may delete your account at any time through the app settings. We may suspend or terminate your account if you violate these Terms.

4. Subscription and Payment

4.1 Free and Premium Features

Apex Arena offers both free and premium subscription features:

• Free: Join unlimited battles, create up to 2 battles per week, basic features
• Premium: Unlimited battle creation, custom team assignments, advanced analytics

4.2 Subscription Terms

Premium subscriptions are billed monthly or annually through the Apple App Store. By subscribing, you agree to:

• Pay the subscription fee for your chosen plan
• Automatic renewal unless you cancel at least 24 hours before the renewal date
• Prices are in U.S. dollars and may vary by region
• Subscriptions are managed through your Apple ID

4.3 Cancellation and Refunds

You can cancel your subscription at any time through your Apple ID settings. Cancellation stops future billing but does not provide refunds for the current period. Refund requests must be directed to Apple, as they process all payments.

4.4 Price Changes

We may change subscription prices with 30 days' notice. Price changes do not affect current subscribers until their next renewal period.

5. 7-Day Calibration Period

All new users must complete a mandatory 7-day calibration period before accessing team battles. During this period:

• Your workouts establish your personal fitness baseline
• You cannot create or join team battles
• You can access all other app features
• This is required for accurate Apex Points calculation

The calibration period cannot be skipped or shortened. It ensures fair competition for all users.

6. HealthKit Integration

6.1 Health Data Access

Apex Arena integrates with Apple HealthKit to access your workout data. You must explicitly grant permission for each data type we access (steps, calories, heart rate, etc.).

6.2 Health Data Usage

We use HealthKit data solely to:

• Calculate Apex Points
• Update battle leaderboards
• Track your personal fitness baseline

We never write data to HealthKit or share raw health data with other users.

7. User Conduct

7.1 Acceptable Use

You agree to use the Service in a lawful and respectful manner. You will NOT:

• Cheat, manipulate, or falsify workout data
• Harass, bully, or threaten other users
• Use offensive, discriminatory, or inappropriate names or messages
• Share content that is illegal, harmful, or violates others' rights
• Attempt to hack, reverse engineer, or exploit the Service
• Use bots, scripts, or automated tools
• Impersonate others or create fake accounts
• Spam or send unsolicited messages

7.2 Battle Integrity

Competitive integrity is fundamental to Apex Arena. Any attempt to manipulate workout data, cheat in battles, or gain unfair advantages will result in:

• Immediate removal from all battles
• Account suspension or permanent ban
• No refunds for subscriptions

7.3 Content Moderation

We reserve the right to review, remove, or modify any user-generated content (battle names, profile information, messages) that violates these Terms.

8. Intellectual Property

8.1 Our Ownership

The Service, including all content, features, functionality, software, design, graphics, and Apex Arena trademarks, is owned by Apex Arena and protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes. This license automatically terminates if you violate these Terms.

8.3 User Content

You retain ownership of content you create (battle names, profile information). However, by using the Service, you grant Apex Arena a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content as necessary to provide the Service.

9. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Third-Party Services

The Service integrates with third-party services (Apple HealthKit, Apple Sign-In, Firebase). These services are governed by their own terms and privacy policies. We are not responsible for third-party services or their practices.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. To the fullest extent permitted by law, Apex Arena disclaims all warranties, express or implied, including:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy or reliability of content or data
• Warranties that defects will be corrected

You use the Service at your own risk. We do not guarantee that:

• The Service will meet your requirements
• HealthKit data will sync correctly or in real-time
• Apex Points calculations will be 100% accurate
• Battle results will be free from disputes

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEX ARENA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Personal injury or property damage resulting from your use of the Service
• Unauthorized access to or alteration of your data
• Errors, bugs, or technical issues with the Service
• Actions of other users or third parties

Our total liability to you for all claims arising from your use of the Service shall not exceed the greater of (a) $100 or (b) the amount you paid us in the past 12 months.

Some jurisdictions do not allow limitations on warranties or liability, so the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Apex Arena and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your content or conduct

14. Modifications to the Service

We reserve the right to:

• Modify, suspend, or discontinue the Service at any time
• Change features, functionality, or pricing
• Update system requirements

We will provide reasonable notice of material changes, but we are not liable for any modifications to the Service.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting updated Terms in the app
• Updating the "Last Updated" date
• Sending an in-app notification or email (for significant changes)

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you don't agree to the changes, you must stop using the Service and delete your account.

16. Dispute Resolution and Arbitration

16.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@apexarena.app. We'll try to resolve it within 60 days.

16.2 Binding Arbitration

If informal resolution fails, you agree that any dispute will be resolved through binding arbitration rather than in court, except for small claims court disputes and intellectual property claims.

Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You can learn more at www.adr.org.

16.3 Class Action Waiver

YOU AND APEX ARENA AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. You waive your right to participate in class actions, class arbitrations, or representative actions.

16.4 Exceptions

You may opt out of arbitration by sending written notice to legal@apexarena.app within 30 days of first accepting these Terms.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes not subject to arbitration will be resolved in state or federal courts located in San Francisco County, California.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Apex Arena regarding the Service and supersede all prior agreements.

20. No Waiver

Our failure to enforce any right or provision of these Terms does not waive our right to enforce it in the future.

21. Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or successor.

23. Apple App Store Terms

If you access the Service through the Apple App Store, you acknowledge and agree that:

• These Terms are between you and Apex Arena, not Apple
• Apple has no obligation to provide support for the Service
• Apple is not responsible for any claims related to the Service
• Apple is a third-party beneficiary of these Terms and may enforce them
